Terms & Conditions<\/strong><\/span><\/h1>

1. Introduction<\/strong><\/span><\/p>

These Terms & Conditions govern the use of services provided by New Venture Partner.
By engaging with us, you agree to operate within the framework defined below.<\/p>

2. Nature of Engagement<\/strong><\/span><\/p>

New Venture Partner operates as a strategic and execution partner.
Engagements may include consulting, product development, design, engineering, or growth initiatives depending on agreed scope.<\/p>

3. Scope & Deliverables<\/strong><\/span><\/p>

All deliverables, timelines, and outcomes will be defined in a formal proposal or agreement.
Any additions or changes outside the agreed scope may require revised timelines and commercial adjustments.<\/p>

4. Commercial Terms<\/strong><\/span><\/p>

  • Engagements may be structured as fixed scope, milestone based, or ongoing retainers<\/p><\/li>

  • Advance payment may be required before initiation<\/p><\/li>

  • Payments must be made as per agreed schedule<\/p><\/li><\/ul>

    Delays in payments may impact continuity of services.<\/p>

    5. Timelines & Dependencies<\/strong><\/span><\/p>

    Delivery timelines are dependent on:<\/p>

    • Scope clarity<\/p><\/li>

    • Timely feedback and approvals<\/p><\/li>

    • Access to required systems and information<\/p><\/li><\/ul>

      Any delays in these dependencies may affect delivery schedules.<\/p>

      6. Collaboration Expectations<\/strong><\/span><\/p>

      We work closely with client teams to ensure outcomes are aligned with business goals.
      Clients are expected to:<\/p>

      • Provide timely inputs and decisions<\/p><\/li>

      • Ensure internal alignment before approvals<\/p><\/li>

      • Assign a point of contact for coordination<\/p><\/li><\/ul>

        7. Iterations<\/strong><\/span><\/p>

        Our process is iterative and outcome driven.
        Reasonable refinements are included.
        Significant changes in direction or scope after alignment may be treated as additional work.<\/p>

        8. Intellectual Property<\/strong><\/span><\/p>

        • Upon full payment, final deliverables will belong to the client<\/p><\/li>

        • Pre existing frameworks, tools, and methodologies remain the property of New Venture Partner<\/p><\/li>

        • We may showcase non confidential work for portfolio purposes unless restricted by agreement<\/p><\/li><\/ul>

          9. Confidentiality<\/strong><\/span><\/p>

          Both parties agree to maintain strict confidentiality of any proprietary or sensitive information exchanged during the engagement.<\/p>

          10. Third Party Services<\/strong><\/span><\/p>

          Projects may involve third party tools, platforms, or services.
          Costs, limitations, and dependencies related to such services are not controlled by New Venture Partner.<\/p>

          11. Termination<\/strong><\/span><\/p>

          Either party may terminate the engagement with prior notice.<\/p>

          • Work completed until that point will be billed<\/p><\/li>

          • Advance payments are non refundable<\/p><\/li>

          • Handover of work will be aligned with payment status<\/p><\/li><\/ul>

            12. Limitation of Liability<\/strong><\/span><\/p>

            New Venture Partner is not liable for:<\/p>

            • Indirect or consequential losses<\/p><\/li>

            • Business outcomes beyond agreed deliverables<\/p><\/li>

            • External system failures or third party dependencies<\/p><\/li><\/ul>

              13. Post Engagement Support<\/strong><\/span><\/p>

              Ongoing support, maintenance, or iteration beyond the initial scope will be defined separately unless explicitly included.<\/p>

              14. Governing Law<\/strong><\/span><\/p>

              These terms shall be governed by applicable laws of the jurisdiction agreed upon in the engagement.<\/p>

              15. Acceptance<\/strong><\/span><\/p>
